1. Definitions

Note: For the purposes of this agreement, defined terms are presented in italics throughout the document to indicate that they carry the specific meanings listed below.

  • "Company" refers to 1560319 B.C. Ltd., a British Columbia corporation wholly owned and operated by Ka Yin Chan (a.k.a. Adam Chan).
  • "Staff" refers to all employees, volunteers, independent contractors, guest instructors, and agents of the Company.
  • "Content" includes all videos, verse, poems, narrative writing, blogs, manuals, recordings, and graphics provided on the Site.
  • "Site" refers to the www.adamchanlive.com website.

2. The Agreement & Consent

By accessing or using the Site, you represent that you are at least the age of majority in your jurisdiction (19 in British Columbia) or have received parental consent. You acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and our Privacy Policy. This constitutes a legally binding contract between you and the Company. Digital acknowledgment at checkout constitutes a legally binding electronic signature. The Company reserves the right to amend these terms; however, we will not unilaterally amend terms respecting cancellation or refunds in a way that increases your obligations or decreases ours without 30 days' notice. If you do not agree to these terms or the Privacy Policy, you must discontinue use immediately.

3. Monthly Subscription, Billing & Cancellation

  • Automatic Renewal: You authorize the Company to charge your payment method every 30 days. Your subscription will renew automatically until you cancel.
  • Pricing: Promotional rates (such as the 3-month introductory rate) revert to standard rates after the promo period. We provide 30 days' notice for standard rate increases for existing members.
  • Cancellation: Single-click cancellation is available in your profile/account settings. You may cancel at any time without charge or penalty. Access continues until the end of your current paid month. It is your responsibility to manage your subscription; the Company is not responsible for, and will not refund, continued charges if you fail to cancel your subscription prior to the start of your next billing cycle.

4. Member Perks & Discretionary Benefits

The Company may offer additional "Perks" which are not part of the core video library.

  • Annual Workshop Discount: To be eligible for the Annual Workshop Discount, a User must be an active subscriber in good standing for a minimum of three (3) consecutive months prior to the workshop registration date.
  • Limitation of Perks: The Company reserves the right to: limit the number of discounts offered (including for Qi Gong or Kung Fu retreats, seminars, or workshops); set expiration dates on discount codes/promotions; and restrict discounts to specific events or membership tiers.
  • Monthly Q&A Sessions: This is a bonus service. The Company reserves the right to reschedule, skip, or permanently discontinue the Monthly Q&A at any time without a reduction in the monthly subscription fee.
  • Discretionary Nature: All Perks are provided at the Company's sole discretion and may be modified or withdrawn without notice.

5. Intellectual Property & AI Protection

All Content in the Site is the property of the Company. You are granted a limited, personal, non-commercial license while your subscription is active. You may not record, download, or redistribute Content. This Site is independent of adamchankungfu.com. You are strictly prohibited from using any Content (including Adam Chan’s voice or likeness) to train AI models or create "Deepfake" or altered media.

6. No-Refund Policy & Digital Waiver

All sales are final. Because you receive immediate access to a digital library of proprietary intellectual property, you acknowledge and agree that no refunds will be issued for any reason. By logging in or accessing any Content, you waive your statutory 14-day right of withdrawal (common in EU/UK law) as the digital service is initiated immediately upon your first access.

7. Health Waiver & Limitation of Liability

  • Assumption of Risk: You represent that you are in good health and assume all risks of injury arising from your practice, whether participating digitally or in-person at a workshop(s).
  • Release: You release the Company, Ka Yin Chan a.k.a. Adam Chan personally, and all Staff from all liability for injury, loss, or damage, including any incidents occurring during travel to or attendance at physical events.
  • Medical Disclaimer: You acknowledge that while Adam Chan may discuss topics related to health or wellness, he is not a health practitioner and does not provide medical advice. You agree to consult a qualified healthcare professional regarding any health concerns or pre-existing conditions.
  • Third-Party Beneficiaries: These protections extend to the Company’s employees, volunteers, contractors, and third-party service providers (e.g., Kajabi).

8. Right to Refuse Service & Terminate Access

The Company reserves the absolute right to refuse service, deny a subscription, or terminate any account/access at its sole discretion, without notice, for any reason including but not limited to:

  • Conduct: Harassment of Staff or students, disruptive behavior, or violation of community guidelines.
  • Security: Account sharing or unauthorized recording of Content.
  • Marketing Refusal: The Company reserves the right to refuse or remove any individual from our email marketing lists or newsletters.
  • Effect of Termination: If terminated for breach, you lose access immediately and no refund will be provided for the remaining billing cycle.

9. Livestream Recordings, Workshops, Chat & Testimonials

  • Recording Disclosure: You acknowledge that all live sessions and workshop(s) are recorded for the Company’s digital library.
  • Consent to Use Likeness: By participating in workshop(s) or online sessions with your camera or microphone on, you grant the Company a perpetual, irrevocable, royalty-free license to use your voice and likeness for the member library, archives, and marketing purposes now or in the future.
  • Chat & Written Contributions: Any text, questions, or comments submitted in "chat" sections or community forums become the property of the Company for use in FAQs, blogs, or educational materials.
  • Testimonials: If you provide a testimonial, review, or feedback—whether spontaneously or at the request of Adam Chan or Staff—via email, chat, or video, you grant the Company the right to use that feedback for promotional and marketing purposes worldwide, in any media, without compensation or further approval.
  • Anonymity: To remain unrecorded during online sessions, you must keep your camera and microphone off. By participating, you waive any right to compensation for the use of these materials.

10. Indemnification

You agree to indemnify the Company and its Staff from any claims or legal fees arising from your breach of these Terms or misuse of the Content.

11. Governing Law

Governed by the laws of British Columbia and Canada. Disputes under $5,000 CAD shall be resolved via the BC Civil Resolution Tribunal (CRT).

12. Class Action Waiver

To the extent permitted by law, you agree to resolve disputes on an individual basis and waive any right to participate in a class-action lawsuit or class-wide arbitration.

13. Personal Use Only & No Certification

This Site and its Content are provided for personal, non-commercial use only. Completion of any course or program on the Site does not constitute a "Teacher Certification," nor does it authorize you to represent yourself as an instructor of the Company or Adam Chan. You are strictly prohibited from using the Content to train others, nor are you permitted to issue certifications or credentials based on the training provided here.
